01Agreement to these terms

These Terms of Use (the “Terms”) are a binding agreement between you and BlueCollarIntel, Inc. (“BlueCollarIntel,” “we,” “us,” or “our”) and govern your access to and use of blucollarintel.com, our applications, and related services (together, the “Services”). By accessing or using the Services, or by accepting these Terms where that option is presented, you agree to be bound by them. If you do not agree, do not use the Services.

If you use the Services on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf, and “you” refers to that organization.

02Definitions

Intelligence. The records, analyses, signals, and other outputs made available through the Services about businesses and their markets.

Evidence. The sourced information on which Intelligence is based, together with the source, state, known limits, access rules, and history recorded for each material item.

State. The status assigned to a material item, for example verified, estimated, unknown, or unverified, indicating how well it is established.

User Content. Information, materials, and submissions that you provide to or through the Services.

03Eligibility and accounts

The Services are intended for businesses and professionals and are not offered to consumers for personal use. You must be at least the age of majority in your jurisdiction and able to form a binding contract to use them.

Access to certain features requires an account. You are responsible for the accuracy of your account information, for keeping your credentials confidential, and for all activity that occurs under your account. Notify us promptly at security@blucollarintel.com if you suspect unauthorized use.

04Access and permitted use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business purposes, and to use the Intelligence you are permitted to access for making and supporting legitimate business decisions.

Access within the Services is governed by permissions. You may access only the records and features you are authorized to use, and your access is recorded.

05Acceptable use

You agree not to:

• Use the Services in violation of any law or of the rights of any person or business.
• Use the Intelligence to harass, intimidate, discriminate against, or unlawfully target any person or business.
• Circumvent, disable, or interfere with permissions, security, rate limits, or other controls.
• Scrape, harvest, or extract data from the Services except through features we provide for that purpose.
• Resell, sublicense, or redistribute the Intelligence except as expressly permitted in writing.
• Use the Services to build or train a competing dataset or product, or to reverse engineer the Services.
• Upload malicious code, or take any action that imposes an unreasonable load on our infrastructure.
• Misrepresent your identity or authority, or use another user’s account.

06The nature of the Intelligence

The Services assemble Intelligence from official, licensed, and public sources and present it with its Evidence and State. Information about businesses changes, sources have limits, and some items cannot be established. We present each item as it stands, including its unknowns.

The Intelligence is decision support, not a guarantee. A State such as verified reflects the Evidence recorded at a point in time; it is not a warranty of a fact, of a business’s condition, or of any outcome. You are responsible for your own verification and decisions.

You agree to use the Intelligence consistent with its State and Evidence, and not to represent an estimated, unknown, or unverified item as an established fact.

07Not professional advice

The Services do not provide legal, tax, accounting, credit, appraisal, investment, or other professional advice, and using them does not create any professional or advisory relationship.

Qualified people remain responsible for legal, tax, credit, appraisal, and transaction decisions. You should obtain your own professional advice before acting.

08No brokerage or investment services

BlueCollarIntel is an intelligence and software provider. We do not act as a broker, dealer, business broker, investment adviser, or agent; we do not effect, negotiate, or facilitate transactions; and we do not receive compensation based on the value or completion of any transaction. Nothing in the Services is an offer, solicitation, or recommendation to buy, sell, finance, or invest in any business or security. Any transaction you pursue is between you and the other parties to it, with your own advisors.

09Your content

You retain your rights in User Content. You grant us a worldwide, non-exclusive, royalty-free license to host, process, and use User Content to operate, secure, and improve the Services and to provide them to you. You represent that you have the rights necessary to provide your User Content and that it does not violate law or the rights of others.

10Intellectual property

The Services, including their software, design, text, and the compilation, organization, and presentation of the Intelligence, are owned by BlueCollarIntel or its licensors and are protected by intellectual property laws. Except for the rights expressly granted to you, we reserve all rights. The BlueCollarIntel name and marks may not be used without our prior written permission.

11Third-party sources and links

The Services draw on third-party sources and may link to third-party sites and materials. Those sources and sites are governed by their own terms, and we are not responsible for their content, accuracy, or practices. Your use of licensed and third-party data is subject to any restrictions that apply to it.

12Disclaimer of warranties

The Services and the Intelligence are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty as to the accuracy, completeness, currency, or reliability of the Intelligence. Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.

13Limitation of liability

To the fullest extent permitted by law, BlueCollarIntel and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to the Services or the Intelligence, even if advised of the possibility. To the fullest extent permitted by law, our total liability for all claims relating to the Services will not exceed the greater of the amounts you paid us for the Services in the twelve months before the event giving rise to the claim, or one hundred U.S. dollars.

14Indemnification

You agree to indemnify and hold harmless BlueCollarIntel and its officers, employees, and suppliers from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your use of the Services, your User Content, or your breach of these Terms.

15Suspension and termination

You may stop using the Services at any time. We may suspend or terminate your access, in whole or in part, if you breach these Terms, if your use poses a risk to the Services or to others, or as needed to comply with law. Provisions that by their nature should survive termination will survive, including the sections on intellectual property, disclaimers, limitation of liability, indemnification, and governing law.

16Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Before bringing a claim, you agree to first contact us at legal@blucollarintel.com and attempt in good faith to resolve the matter informally. Any dispute that is not resolved will be brought exclusively in the state or federal courts located in Delaware, and you and BlueCollarIntel consent to the personal jurisdiction of those courts.

17Changes to these terms

We may update these Terms from time to time. When we make a material change, we will update the effective date above and, where appropriate, provide additional notice. Your continued use of the Services after an update means you accept the revised Terms.

18General

These Terms, together with the Privacy Policy and any terms applicable to a specific feature or plan, are the entire agreement between you and BlueCollarIntel regarding the Services. If any provision is found unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control. Notices to you may be given through the Services or by email, and notices to us should be sent to legal@blucollarintel.com.
